1. About these terms
These Terms of Use govern your use of the MogranHub website at mogranhub.com and the MogranHub mobile apps (together, the "Platform"). By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
The Platform is operated by [Company legal name], registered in [country] under number [registration number], with its address at [address] ("MogranHub", "we", "us"). "You" means any person or company that visits the Platform or holds an account. If you use the Platform on behalf of a company, you confirm that you are authorised to accept these Terms for it.
2. What MogranHub is, and is not
MogranHub is an online business directory and marketplace that helps suppliers and buyers of goods, commodities and equipment find each other, share product information, request quotations and communicate.
MogranHub is not a party to any contract, sale, purchase, shipment or payment between users. Unless we expressly agree in a separate written contract (for example, a brokerage agreement), we:
- do not own, inspect, store, ship or take title to any goods;
- do not guarantee the quality, quantity, origin, legality or delivery of any goods;
- do not guarantee that any buyer will pay or any supplier will perform;
- do not hold or process payments between users.
You are solely responsible for checking the other party, agreeing your own contract, arranging inspection, insurance, shipping and payment, and obtaining any licences, permits and certificates your deal requires.
3. Accounts, listings and verification
Eligibility. You must be at least 18 years old and legally able to enter contracts. Accounts may be held by individuals or by companies.
Your account. You must give accurate, current and complete information and keep it up to date. You are responsible for all activity on your account and for keeping your login details secret. Tell us at once at info@mogranhub.com if you think your account has been used without permission. One person or company may not hold several accounts to get around a suspension or a plan limit.
Profiles and listings. You are responsible for everything you publish, including product descriptions, specifications, grades, quantities, prices, photos and documents. Listings must describe real goods you are able to supply, or real needs you intend to buy. Do not copy other users' photos or content.
Verification badges. We may offer Basic, Verified and Trusted badges based on checks of contact details, documents, samples or site visits. A badge means only that we completed the checks described on our "How verification works" page at the time of the check. A badge is not a guarantee, endorsement or warranty of a user, their goods or their future conduct. We may refuse, suspend or remove a badge at any time, including if documents prove false or expire.
Reviews and reports. You can report a profile, listing or message that you believe breaks these Terms. We review reports but are not obliged to monitor all content.
4. Rules of conduct and compliance
You must not use the Platform to:
- post false, misleading or fraudulent listings, documents, certificates or company details;
- impersonate another person or company, or claim a badge you do not hold;
- ask for advance payments for goods you cannot supply, or run any scam;
- list or trade goods that are illegal in the country of origin, transit or destination, including narcotics, weapons, ammunition, protected wildlife and goods from conflict-affected sources where trade is banned;
- send spam, bulk unsolicited messages or harvest other users' contact details;
- harass, threaten or abuse other users;
- upload viruses or try to access accounts, data or systems without permission;
- scrape, copy or resell Platform data without our written consent.
Sanctions and export controls. You confirm that you, your company, its owners and anyone you trade with through the Platform are not on any sanctions list of the United Nations, the United States, the European Union, the United Kingdom or the United Arab Emirates, and are not owned or controlled by a listed person. You must comply with all sanctions, export control, customs and anti-money-laundering laws that apply to your trade. We may screen users, ask for information, and refuse, suspend or close any account to meet these laws.
Off-platform deals. Users are free to agree deals outside the Platform, but these Terms still apply to how you use the Platform to make contact.
5. Fees and content ownership
Free and paid services. Basic accounts and listings are free. Some services are paid, such as verification badges, featured placement and buyer subscriptions. Prices, what each plan includes and the billing period are shown before you buy. Prices may change; changes apply from your next billing period, and we will tell you in advance.
Payment. Paid services are billed in advance, in the currency shown, through our payment provider or by bank transfer as stated on the invoice. You are responsible for any taxes and bank charges.
Refunds. Verification fees cover the work of checking your documents and are not refundable once the review has started, whether or not a badge is granted. Subscriptions and featured placement can be cancelled at any time and stay active until the end of the paid period; we do not refund partial periods unless the law requires it. If we close your account for breaking these Terms, no refund is due.
Brokerage. Where a user asks us to broker or manage a trade, a separate written agreement will set out the commission and responsibilities.
Your content. You keep ownership of the content you upload. You give MogranHub a worldwide, non-exclusive, royalty-free licence to host, display, translate, adapt and promote it on the Platform and in our marketing, for as long as it stays on the Platform. You confirm you have the right to upload it.
Our content. The MogranHub name, logo, design, software and database belong to us or our licensors. You may not copy or use them without our written permission.
6. Liability, suspension and legal terms
No warranty. The Platform is provided "as is" and "as available". We do not promise that it will be uninterrupted, error-free, or that information posted by users is accurate.
Limitation of liability. To the fullest extent the law allows, MogranHub is not liable for any loss arising from dealings between users, including unpaid invoices, undelivered or defective goods, fraud by another user, or shipping and customs problems. We are not liable for indirect or consequential loss, or loss of profit, business or data. Our total liability to you in any 12-month period is limited to the fees you paid us in that period, or USD 100 if you paid nothing. Nothing in these Terms limits liability that cannot be limited by law.
Indemnity. You agree to compensate MogranHub for claims, losses and costs (including reasonable legal fees) caused by your content, your deals with other users, or your breach of these Terms or of the law.
Suspension and closure. We may remove content, suspend or close any account, with or without notice, if we reasonably believe it breaks these Terms, puts other users at risk, or is required by law. You may close your account at any time from Settings.
Governing law and disputes. These Terms are governed by the laws of [jurisdiction]. Any dispute will be settled by the courts of [city/country], unless we agree in writing to arbitration.
Changes. We may update these Terms. We will post the new version with its date and, for important changes, notify you by email or on the Platform. Continuing to use the Platform after the change means you accept it.
Language. These Terms are available in English and Arabic. If the two versions differ, the English version applies.
